1.1 These Seller Terms & Conditions (the "Terms") govern your use of the farm shop and commerce features of the Livestock Manager platform (the "Farm Shop Service"), operated by Pila Studio UG (haftungsbeschränkt) ("Pila Studio", "we", "us"). They apply in addition to the general Livestock Manager Terms & Conditions and Privacy Policy.
1.2 The Farm Shop Service lets you (the "Seller") create an online storefront, list products, take orders through your personal shop link, and - where enabled - offer your products on the Freshli marketplace (the "Marketplace"). The Farm Shop Service is provided by Pila Studio as a licensed store-management service to the Marketplace; the Marketplace itself may be operated by a separate entity and may impose additional terms, policies and fees, which you must also accept and comply with before or while selling there.
1.3 By completing the Farmers Market Readiness Academy and accepting these Terms, you enter a binding agreement with Pila Studio. If you accept on behalf of a farm, cooperative or company, you confirm you are authorised to bind it. If you do not agree, do not open a shop.
1.4 These Terms are drafted in English. Translations may be provided for convenience only; the English version governs.
2.1 You must be at least 18 years old and legally capable of entering contracts. You must hold, and maintain for as long as you sell, every registration, licence, permit and approval required to produce and sell your products in your jurisdiction.
2.2 All information you provide - identity, farm details, location, payout details, product information - must be true, accurate, current and complete, and you must keep it updated. We may require verification (including identity, business and payout-account verification) at any time and may suspend the Farm Shop Service until verification is completed to our satisfaction.
3.1 Pila Studio provides technology only. Every sale concluded through your shop or the Marketplace is a contract directly between you and the buyer. We are not the buyer, seller, producer, distributor, agent, broker or insurer of your products, and we do not take ownership or possession of them at any time.
3.2 You are solely responsible for your products, listings, pricing, stock, order fulfilment, delivery, quality, safety, legality, warranties, receipts and invoices, taxes, and all after-sales obligations including refunds, replacements and recalls.
3.3 Nothing in these Terms creates any partnership, joint venture, employment or franchise relationship between you and Pila Studio or between you and the Marketplace operator.
4.1 Every listing must accurately describe the real product offered: honest names, descriptions, photographs of the actual goods (or representative images you have the right to use), correct units, prices and availability. Stock levels must be kept honest; systematically accepting orders you cannot fulfil is a material breach.
4.2 You warrant that you own, or hold all necessary rights and licences to, all content you upload (including photos, logos, cover images and text), and that none of it infringes any third-party rights, is misleading, defamatory or unlawful.
4.3 Prohibited: products that are illegal in the buyer's or your jurisdiction; products that require a licence you do not hold; recalled, expired, adulterated, misbranded or unsafe food; live animals where prohibited; controlled substances; counterfeit goods; and any listing used to channel off-platform payment in circumvention of the Marketplace's payment flow.
4.4 We may (but are not obliged to) review, moderate, edit for formatting, decline or remove any listing or content at our sole discretion, with or without notice, including where we reasonably suspect a breach of these Terms or applicable law.
5.1 You are solely responsible for compliance with all laws and standards applicable to the production, labelling, packaging, storage, transport and sale of your products - including food safety, hygiene, animal-health, veterinary-residue, weights-and-measures, consumer-protection and distance-selling rules of every jurisdiction you sell into.
5.2 You must immediately (i) stop selling any product you know or suspect to be unsafe, (ii) notify us, and (iii) conduct any legally required recall at your own cost. We may remove listings and notify buyers and authorities where we consider it necessary.
5.3 Pila Studio does not inspect, test or certify any product. Marketplace vetting or approval of your shop is a review of presentation and completeness only and is not an endorsement, certification or assumption of any responsibility for your products.
6.1 You must honour every order accepted through your shop or the Marketplace at the listed price, fulfil it as described (delivery areas, schedules, pickup arrangements), and communicate promptly and honestly with buyers about delays or problems.
6.2 Where the Marketplace operates order deadlines, packing confirmation, pickup windows or delivery hand-offs, you must comply with those operational rules. Repeated cancellations, no-shows, short-shipping or quality complaints are grounds for suspension or removal.
7.1 You set your prices. You are solely responsible for determining, collecting, reporting and remitting all taxes, duties and levies connected with your sales (including VAT or equivalent), and for issuing any legally required receipts or invoices to buyers. Amounts payable to you may be treated as inclusive of any such taxes unless expressly stated otherwise.
8.1 Marketplace payments are processed by third-party payment service providers. You must provide and maintain accurate payout details and complete any verification (KYC/AML) the provider or we require. Off-platform settlement of Marketplace orders is prohibited.
8.2 Proceeds from Marketplace sales become eligible for payout only after the applicable clearance period (currently 48 hours from delivery/completion, subject to change) and are net of all applicable Marketplace commissions, fees and adjustments.
8.3 We or the Marketplace operator may withhold, delay or set off amounts otherwise payable to you: (i) to cover refunds, chargebacks, disputes, penalties or buyer claims attributable to your orders; (ii) where fraud, illegality or a breach of these Terms is reasonably suspected, pending investigation; (iii) where required by law, a payment provider or an authority; or (iv) to recover any amount you owe us or the Marketplace. Withheld amounts are released when the underlying issue is resolved.
8.4 Refunds you owe buyers may be deducted from your balance or future payouts; where the balance is insufficient, you must repay on demand. You bear the loss of chargebacks and payment reversals attributable to your orders.
8.5 Fees and commissions may be introduced or changed with at least 14 days' notice through the platform; continued selling after the effective date constitutes acceptance.
9.1 We may suspend or restrict your shop, remove individual listings, or remove your farm from the Marketplace entirely, at any time, with immediate effect and at our sole discretion, where: you breach these Terms or any Marketplace policy; we suspect fraud, food-safety risk or other illegality; your performance metrics (cancellations, complaints, disputes) are materially deficient; verification fails or is refused; a payment provider, authority or the Marketplace operator requires it; or your conduct risks harm to buyers, the platform or its reputation.
9.2 Removal from the Marketplace is at the sole discretion of the Marketplace operator and us. No Seller has any right or entitlement to be listed - or to remain listed - on the Marketplace, and no compensation is payable for suspension, delisting or lost prospective sales.
9.3 On suspension or removal: pending orders may be cancelled and refunded to buyers; your listings become invisible to buyers; and your remaining balance is paid out after the clearance period, less any withholdings and amounts you owe under clause 8. Where investigation of fraud, chargebacks or claims is ongoing, we may hold the affected part of your balance for up to 180 days, or longer where required by law or the payment provider.
9.4 You may close your shop at any time; closure does not affect obligations already incurred (open orders, refunds, taxes, indemnities). Clauses which by their nature survive - including clauses 3, 5, 7, 8, 10, 11, 12 and 14 - survive termination.
9.5 We may modify, limit or discontinue the Farm Shop Service (in whole or in part) at any time. Where reasonably possible we will give advance notice of material discontinuation.
10.1 You grant Pila Studio and the Marketplace operator a non-exclusive, worldwide, royalty-free, sublicensable licence to host, reproduce, display, adapt (for formatting) and distribute the content of your shop and listings for the purpose of operating, promoting and marketing the Farm Shop Service and the Marketplace, for as long as your content is on the platform and for a reasonable transition period thereafter. You retain ownership of your content.
11.1 You will indemnify, defend and hold harmless Pila Studio, the Marketplace operator, and their officers, employees and agents from and against all claims, demands, losses, damages, penalties, fines, costs and expenses (including reasonable legal fees) arising out of or relating to: your products (including personal injury, illness, death or property damage caused by them); your listings and content; your breach of these Terms or of applicable law; your taxes; your infringement of third-party rights; and any dispute between you and a buyer.
12.1 The Farm Shop Service is provided "as is" and "as available". We do not warrant uninterrupted or error-free operation, any level of sales, buyer demand, search placement or Marketplace acceptance, or the accuracy of any distance, location or analytics feature.
12.2 To the extent permitted by law, Pila Studio's total liability to you arising out of or in connection with the Farm Shop Service, whatever the legal basis, is limited to the greater of (i) the fees and commissions you paid to us in the twelve (12) months before the event giving rise to the claim, and (ii) EUR 100. We are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data.
12.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law - including, under German law, liability for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), for injury to life, body or health, under the Produkthaftungsgesetz, or, in the case of slight negligence, for breach of essential contractual obligations (Kardinalpflichten), where liability is limited to the foreseeable damage typical of the contract.
12.4 Force majeure: neither party is liable for failure or delay caused by events beyond its reasonable control (including outages of payment providers or hosting, natural disasters, war, epidemics, or acts of authorities).
13.1 Our processing of personal data is described in the Livestock Manager Privacy Policy. Where you receive buyers' personal data (names, addresses, phone numbers) to fulfil orders, you may use it solely for fulfilment and legal compliance, must protect it, and must not use it for unsolicited marketing. For that data you act as an independent controller under applicable data protection law.
14.1 We may amend these Terms. For material changes we will give notice through the platform and may require you to re-accept the updated Terms (your shop's commerce features may be locked until you do). Continued selling after the effective date of a non-material change constitutes acceptance.
15.1 These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction, to the extent permitted, is the registered seat of Pila Studio UG (haftungsbeschränkt). Mandatory local consumer or agricultural regulations applying to your sales to buyers remain unaffected and are your responsibility.
15.2 If any provision of these Terms is held invalid, the remainder stays in force; the invalid provision is replaced by a valid one that comes closest to its economic intent. Our failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it to an affiliate or in connection with a merger or sale.
15.3 These Terms, together with the general Livestock Manager Terms & Conditions, the Privacy Policy and any Marketplace policies referenced in them, are the entire agreement regarding the Farm Shop Service.
